- The HalalFide portal is operated by: HALAL FIDE sp. z o.o., ul. Towarowa nr 37, lok. 75, 61-896 Poznań, Poland, NIP: 7831912724, KRS: 0001128151 (hereinafter: the Operator)
- Portal address and contact details: website address: https://www.halalfide.com, email: support@halalfide.com, phone: 0048 571 955 345.
- The portal enables wholesale trade, including that of food products, between businesses (B2B) in Poland, the EU, and worldwide.
- These Terms and Conditions are based on laws in force within the EU.
- These Terms and Conditions define the rights and obligations of Partners/Users, as well as the rights and obligations of the Operator as the entity managing and operating HalalFide.
- Each User may read and download the content of the Terms and Conditions to their Device, as well as print it.
- Partners and Users are obliged to respect copyright and rights arising from the registration of inventions, patents, trademarks, utility models, and industrial designs.
- The HalalFide portal is an independent and original work within the meaning of the Copyright and Related Rights Act and does not infringe the intellectual property rights of third parties. The owner grants Users and Partners a non-exclusive license for an indefinite period to use all technologies that provide services on HalalFide.
- The Operator of HalalFide undertakes to provide the legal and organizational means necessary for the secure processing of the personal data of Partners and Users. An integral part of these Terms and Conditions is the Privacy Policy available at Privacy Policy.
- Operator / Administrator - Operator - HALAL FIDE sp. z o.o., ul. Towarowa, nr 37, lok. 75, 61-896 Poznań, Poland, NIP 7831912724, KRS 0001128151.
- HalalFide Portal - a system for handling online orders created for cooperating companies, managed by the Operator
- Partner - a business, legal person/organizational unit with legal personality, which, after approval by the Operator, can create their profile, share their product listings, and submit requests for quotations
- Partner's Panel - a set of administrative and organizational information in which the Partner registers their company data along with a presentation of the current range of products that the User can purchase through the HalalFide Portal.
- User - a Partner who, after reviewing the Partner's Offer in HalalFide, can send a request for quotation and make a purchase.
- Quick Deal - a sale in which the Partner offers to sell a specified quantity of a Product, at a pre-determined price, quantity, and quality etc. within a pre-determined time.
- Partner Representative - a third party authorized by the Partner/User to create, administer, and moderate the Partner/User Panel, to introduce changes in it, to add their offer, and to submit requests for quotations.
- Product - products and services offered by the Partner on the HalalFide Portal.
- Food product - means a food product (including meat) placed on the market by the Partner which meets all legal requirements and has all necessary certifications.
- Offer - A declaration of intent to conclude a contract given to the other party, in which the Partner specifies the Products, prices, type of delivery/payment, and dates.
- Request for Quotation - Partners and Users can create requests for quotations, which constitute an invitation to participate in the process of submitting offers for the supply of specific products.
- Package - a set of functionalities available in HalalFide, which may be made available to the Partner free of charge or for a fee.
- Incoterms - International Commercial Terms are a set of rules that define the terms of sale and delivery worldwide.
- Sales Agreement - the legal relationship established between the User and the Partner on the basis of the Offer or a submitted request for quotation and its fulfillment, delivery, and payment.
- Order - a statement by the User made in the HalalFide form that indicates the subject matter and the service to be provided by the Partner for the price indicated in the price list in the Partner Panel.
- Entrepreneur - a natural person, legal person or unit without legal personality that performs a legal act on their own behalf as a part of business or professional activity.
- Manufacturing Plant - an enterprise engaged in the production of food products or other goods offered on the HalalFide Portal, which meets all legal, sanitary, and certification requirements, including Halal. The Manufacturing Plant is responsible for the production, packaging, storage, and preparation of Products for sale in compliance with applicable norms and quality standards.
- Trading Company - an enterprise specializing in the distribution and sale of Products offered on the HalalFide Portal, acting as an intermediary or as a restaurant/restaurant chain. The Trading Company may purchase, store, and sell Products while ensuring their appropriate quality.
- To use the HalalFide Portal, you need:
- a device transmitting teleinformatics data;
- access to the Internet;
- an email address;
- The Operator informs the User that disabling the use of Cookies by the Partner may affect the functionalities available on the HalalFide Portal. Upon entering the Portal's website, the User is asked to accept the Cookie Policy.
- Detailed information on Cookies is contained in the Cookie Policy, available at Cookies which constitutes an integral part of these Regulations.
- To set up the 'Partner Panel,' the Partner sends an application via the form available on HalalFide. First, the entity selects whether its operations fall under the category of a Manufacturing Plant or a Trading Company, and then proceeds to add a logo, all required data (company, legal data, and Halal Certificates if Manufacturing Plant), accepts the terms and conditions, and consents to the processing of personal data.
- The Partner is obliged to attach registration documents such as CEIDG or KRS excerpts in Poland or documents corresponding to the above-mentioned documents in the country where the Partner has registered their business activity, and other required documents or Halal Certificates if Maunfacturing Plant, necessary for the sale of specific Products in a given territory.
- The Partner undertakes to provide true data.
- After receiving the application, the Operator verifies the submitted data and sends a decision to the indicated email address regarding whether the Partner Panel has been activated or the application has been rejected.
- A Partner whose application has been accepted will receive information to their email address and will be able to sign in to the system and use the functionalities consistent with the Package they have selected.
- After signing up, the Client will receive a confirmation email.
- Signing up allows you to sign in to the system.
- A Partner whose application has been rejected can correct the indicated data and complete the form again.
- The password used to sign in to the Portal may consist of letters, numbers, and/or special characters. The password is individual for each user. The password can be changed on the website by providing the email address and the new password. The User must change their password regularly.
- Setting up a 'Partner Panel' is free of charge.
- Setting up a Partner Panel after positive verification by the Operator is prerequisite for using HalalFide.
- Changes to the Partner Panel must be approved by the Operator.
- By accepting these Terms and Conditions, the Client makes the following statement:
- I have voluntarily selected to use the Portal services;
- The data in the form is true.
- The Partner may, at their own risk, transfer access passwords to the HalalFide Portal account to employees and collaborators authorized only by the Partner.
- The Partner can place an order for services collected in Packages on the Portal website.
- Services available on the HalalFide Portal are provided for a fee with PRO or PRO+ Packages and free of charge with the Regular Package.
- The Package is ordered by filling out the form available on the Portal website.
- Confirmation of the Package order will be sent to the email address.
- The prices indicated for Packages are net prices.
- The Package fee is automatically renewed every month, and the fee is charged in advance for each subsequent billing period.
- The Partner select a different package:
- Upgrade – in the case of upgrading to a higher (larger) package, the user is obliged to pay a surcharge corresponding to the price difference between the current and the new package. The new billing period begins on the date the user transitions to the higher package, in accordance with the applicable rules specified in the Terms and Conditions.
- Downgrade – In the case of downgrading to a lower (smaller) package, the user remains assigned to the current, higher package until the end of the ongoing billing period. After this period concludes, the user is assigned to the new, lower package in accordance with the applicable rules specified in the Terms and Conditions.
- The Partner has the right to cancel their subscription at any time. In the event of cancellation, the fee for the next month will not be charged, and access to services will be active until the end of the current billing period.
- The payment operator is Stripe Inc.
- The Operator accepts payments by debit and credit cards issued by reputable financial institutions. The Partner can use Visa, MasterCard, American Express, and other supported payment operators.
- All transactions made using debit and credit cards are secured with SSL encryption and other modern data protection technologies, which guarantee secure payment processing.
- The User is responsible for providing correct credit card details. The Portal is not liable for incorrect data entry or for any problems resulting from the refusal of payment authorization by financial institutions.
- Each transaction using a payment card is subject to authorization by the relevant bank or card issuer. In the event of a lack of authorization, the order will not be processed, and the user will be informed about the transaction failure.
- Debit and credit card details are processed in accordance with the portal's privacy policy and solely for the purpose of processing transactions. The Operator does not store payment card data after the transaction is completed, unless the user agrees to save them to facilitate future purchases.
- The Partner agrees to receive invoices electronically.
- After recording the payment for the selected Package in the bank account, the Operator:
- activates all functionalities assigned to the Package selected by the Partner,
- issues a VAT invoice, which is available in the Partner Panel.
- After successful verification by the Operator, logging in, and paying for the selected Package (in the case of paid Packages), the Partner gains the ability, depending on the selected Package, to: log in to the Portal, respond to a request for proposal, submit a request for proposal, initiate a Quick Deal, respond to a Quick Deal, search for requests for proposals, search for Quick Deals, search for enterprises, and start chat conversations with other Partners/Users.
- To publish an Offer, the Partner has to complete the form, upload photos, enter information about the Product and data related to the processing time, transport, and terms of sale.
- The Offer and the request for quotation indicate the person responsible for the request for quotation. The Partner shares their Partner Panel at their own risk.
- The Partner who adds an Offer or Request for Quotation is obliged to make the following available: terms of sale, order fulfillment, payment, delivery (including Incoterms), complaints, and principles of personal data processing.
- To add a Request for Quotation, the Partner has to complete the form, upload photos, enter information about the Product and data related to transport, payment, and terms of sale.
- The User places an order by selecting Products and completing the form on the website. Confirmation of the order is available in the Partner Panel.
- The sales agreement between the Partner and the User is concluded upon receipt of the statement of acceptance of the offer (upon clicking the acceptance button on the HalalFide Portal).
- The Operator is not a party to the Sales Agreement and is not responsible for its execution.
- The order price is determined individually between the parties to the Sales Agreement.
- Order fulfillment is the sole responsibility of the Partner.
- Quick Deal allows for the immediate placement of an order for a selected product or service within a specified time, which is equivalent to concluding a sales agreement.
- The chat function on the Portal is available to users and Partners to reply and accept or deny Quick Deal offers and communicate with another Users/Partners.
- The Partner is obliged to use the chat politely, in accordance with the law and the Portal's terms and conditions. Any content that is offensive, inappropriate, or infringes upon the rights of other users is prohibited.
- The Partner/User bears full responsibility for the content sent via the chat. The Operator reserves the right to moderate, remove content, or block access to the chat in the event of a violation of the rules.
- Chats may be recorded to monitor service quality, handle complaints, and ensure compliance with the terms and conditions.
- The website Operator is not liable for losses resulting from unauthorized access to the chat, the actions of third parties, or interruptions in the availability of the chat function.
- The Partner declares that:
- they have appropriate insurance, permits, documents, Halal Certificates for the Products added on the HalalFide Portal and their sale,
- by placing content, photos, and materials, they do not infringe on the rights of third parties,
- the data provided about the Partner and the Products is true,
- they have the technical and organizational means to fulfill the Order placed by the User,
- they will provide the User with only up-to-date Products, prices, terms of sale, and personal data processing principles before placing the Order,
- they are aware that they provide requests for quotations and the possibility of placing orders at their own risk.
- The Partner consents to the Operator’s use of the name and logo of the Partner's brand on the website and in their marketing materials under a non-exclusive license
- The Partner is obliged to secure access to the Partner Panel by setting a password and regularly changing it. They must not share the Partner Panel with third parties outside their organization.
- The Partner/User, as an Entrepreneur, does not have the right to withdraw from an agreement (returns) within 14 days without giving a reason.
- The Partner designates an administrator in their organization who will be responsible for updating the Partner's data, Requests for Quotations, Quick Deal and content, photos, and materials describing products, as well as fulfilling orders.
- The Partner is responsible for providing appropriate information to Users with whom they conclude a sales agreement for Products, regarding order fulfillment, any complaints, amicable dispute resolution, and personal data processing.
- The Operator in HalalFide:
- enables the Partner and User to share Offers and Requests for Quotations and conclude sales agreements with Users on the HalalFide Portal
- provides the Partner with a Panel on the Portal, which facilitates the management of orders and deliveries of Products,
- promotes the Partner by publishing information, photos, location, and requests for quotations in HalalFide.
- The Operator is responsible for the proper functioning of the HalalFide Portal.
- The Operator provides technical support to the Partner in setting up the Partner Panel and adding content.
- The Operator is not liable for:
- submission of false statements, information, and other data provided by Partners in the Partner Panel,
- failure to fulfill obligations arising from the sales agreement for Products concluded between the Partner and the User on the HalalFide Portal,
- violation by the Partner or User of the rights of third parties, including copyright,
- failure by Partners and Users to comply with regulations on personal data protection,
- losses resulting from the use of the Portal in a manner inconsistent with applicable regulations or the Terms and Conditions, and losses resulting from the provision of incomplete or untrue data by the Partner/User,
- in the event of claims directed against it by other Partners/Users or third parties related to the violation of applicable regulations or the Terms and Conditions by other Users or third parties, liability in this respect is borne solely by the User or third party who violated the applicable regulations or the Terms and Conditions,
- Halal Certificates shared between Users/Partners via HalalFide chat or other communication tools, other than those approved by the Operator, are not recognized.
- In cases where the Operator was misled by the Halal certification body issuing the Halal certificate indicated by the Partner/User during the verification of the Halal certificate provided in the registration form or during the verification of the Halal certificate added in the Partner Panel.
- the Partner’s/User’s loss of the User's login (identifier) or password used by User to log into the Service its acquisition by third parties.
- The Partner/User may file a complaint related to electronic services provided on the HalalFide Portal at any time by sending a message to: support@halalfide.com
- The Operator will consider the complaint within a maximum of 14 days.
- The electronic service agreement is concluded for an indefinite period.
- A registered Partner/User may terminate electronic service agreement at any time.
- A statement of termination submitted by a registered User should be submitted via email; the message should be sent from the address provided in the User Account. The date of submission of the statement of termination shall be the date of receipt of the email containing the statement of termination.
- The Partner, upon terminating the service agreement, loses access to the data contained in the Partner Panel.
- The Operator may immediately terminate the electronic service agreement concerning the Partner if:
- The Partner/User, in the event of a change, has not promptly updated the data required to sign up on the Portal,
- The Partner/User provides false data/Halal Certificates and creates fictitious accounts,
- The Partner/User grossly or persistently violates the Terms and Conditions or undertakes actions contrary to the aims and purpose of the Portal.
- A statement of termination of the electronic service agreement submitted by the Operator will be sent to the email address provided in the User Account.
- Termination of the agreement by either party, as well as its termination by mutual agreement, is equivalent to blocking the User's access to the User Account and its deletion.
- These Regulations are available on the Portal website.
- The Operator may change the content of the Terms and Conditions, of which they will immediately notify all Users.
- In the event that certain provisions of these Terms and Conditions are found to be invalid, which may result from inconsistency with the law, principles of social coexistence, and others, the remaining provisions remain in force.
- Disputes arising from these Terms and Conditions or service agreements with Entrepreneurs will be resolved through negotiation or mediation. If a consensus cannot be reached, they shall be settled by an arbitration court competent for the Operator's registered office. The ruling of the arbitration court shall have the effects specified in the polish Code of Civil Procedure.
- These Terms and Conditions are effective from from the date of their publication on the website.
